“ProxyStreet is a web-based product developed for managers who have the responsibility to cast their vote on behalf of their corporate portfolio clients. It also has the ability for them to monitor the return process using real-time information so that intelligent decisions are made in regard to attaining quorum for the corporate annual meetings”.

ProxyStreet is a web-based set of applications that facilitate proxy voting and administration with a set of analytical tools useful for custodians on various levels of stock ownership. In addition, it contains print file generation routines for producing paper proxy forms and tabulating paper proxy returns.

The voting component is available for stock owners such as plan participants, bank and broker custodians, plan sponsors, etc. This application presents the proxy to a voter displaying all the relevant proposals and shares held with an optional link to a voting recommendation service. If a shareholder holds multiple accounts in a particular issue, then a rolled-up “super proxy” can be presented so that all accounts for the same or related stocks can be voted as one unit. This accounts for the fact that some mutual funds are issued as a family and may have proposals in common across the family. This proxy, when completed, posts to the proxy tabulation system.

The administrative system allows for issuer maintenance, meeting management, and shareholder maintenance.

The analytical interface is available to the plan sponsor, 401k manager, broker, or anyone designated as the ultimate custodian of stock with the authority to view and report voting activity. Information provided by this interface include voter participation, stock position held v. total outstanding, raw voting results by proposal, meeting details including proposal description and director recommended vote, vote returns by day, votes and unvoted share range analysis (share ranges are customizable), returns by state, shareholder voting pattern analysis on overall or share range basis, and projected voting results accounting for applied voting rules. These rules can be applied on a plan or account level.
